Terms of Service

These terms govern your use of Nvyte. They're written to be read — but they are a binding agreement, so please do read them.

1. The agreement

These Terms of Service (the "Terms") are an agreement between you and Roman Reed Ltd, trading as Nvyte ("Nvyte", "we", "us"). By creating an account, creating an event, RSVPing to an invitation, or otherwise using the Service, you accept these Terms and our Privacy Policy.

If you use the Service on behalf of a company or organisation, you confirm you have authority to bind it, and "you" includes that organisation.

2. The Service

Nvyte provides an online platform for event management, including digital invitations, RSVP collection, seating arrangement, program management, meal management, guest access control with QR passes, and event statistics and reporting. Features vary by plan and may change as the Service evolves.

3. Accounts

  • You must be at least 18 years old to create an account.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • Information you provide must be accurate and kept up to date.
  • Team members you invite (co-hosts, planners, ushers) act under your account, and you are responsible for their use of it.

4. Host responsibilities

When you manage an event on Nvyte, you provide and control your guests' personal information. You agree that you will:

  • Have a lawful basis to add each guest's contact details and to invite them;
  • Use guest information (including meal, dietary, and accessibility details) only for the purposes of the event;
  • Comply with applicable data protection law, including the Uganda Data Protection and Privacy Act, 2019, where it applies to you;
  • Not import purchased contact lists or send invitations that are, in substance, unsolicited marketing.

Between you and Nvyte, you are the data controller for your guests' information and we process it on your instructions, as described in the Privacy Policy.

5. Guests & passes

  • Guest passes are personal and non-transferable. A pass identifies its holder and may not be shared, duplicated, or resold unless the host's event settings expressly allow transfer.
  • An invitation or pass does not itself guarantee entry — admission remains at the discretion of the event host and venue.
  • Nvyte is a platform provider. The event itself — its content, venue, safety, catering, and conduct — is the responsibility of the host.

6. Acceptable use

You agree not to use the Service to:

  • Break the law, infringe others' rights, or promote violence or hatred;
  • Send spam, phishing messages, or deceptive invitations;
  • Impersonate any person or organisation, or misrepresent an event;
  • Probe, scan, disrupt, or attempt to gain unauthorised access to the Service or other users' data;
  • Scrape or harvest guest information, or use the Service to build a competing database;
  • Circumvent pass security, forge check-ins, or manipulate event statistics.

We may suspend or remove events, content, or accounts that violate these rules.

7. Plans & payments

  • Some features are free; others require a paid plan or per-event fee. Current pricing is shown in the Service before you commit to a charge.
  • Fees are stated inclusive or exclusive of taxes as indicated at checkout; you are responsible for applicable taxes.
  • Paid subscriptions renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period.
  • Except where required by law, fees are non-refundable once an event's invitations have been sent.

8. Your content & our IP

Your content. You retain ownership of the content you upload — invitation artwork, event names, guest lists, photos, and programs. You grant us a limited licence to host, display, and transmit that content solely to provide the Service (for example, delivering your invitation to your guests).

Our IP. The Service itself — its software, design, templates, and branding — belongs to Roman Reed Ltd and its licensors. You may not copy, modify, or create derivative works from it, except as the Service intentionally allows (for example, customising a template for your own event).

You are responsible for ensuring you have the rights to any artwork, music, photos, or other material you upload.

9. Availability

We work hard to keep Nvyte available, especially on event days, but the Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation, and we may modify, suspend, or discontinue features with reasonable notice where practical. We recommend hosts keep an exported copy of their guest list for critical events.

10. Liability

To the maximum extent permitted by law:

  • Nvyte is not liable for indirect, incidental, or consequential losses, including lost profits, lost data, or reputational harm;
  • Nvyte is not liable for the acts or omissions of event hosts, guests, venues, or vendors;
  • Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the twelve months before the claim arose, or USD 100 if you paid nothing.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Termination

You may close your account at any time from your dashboard. We may suspend or terminate access if you materially breach these Terms, if required by law, or if we discontinue the Service (with reasonable notice and an opportunity to export your data where practical). Sections that by their nature should survive — including content licences already exercised, payment obligations, and liability limits — survive termination.

12. Governing law

These Terms are governed by the laws of the Republic of Uganda. Disputes that cannot be resolved informally shall be subject to the jurisdiction of the courts of Uganda, without prejudice to any mandatory consumer protections you enjoy in your country of residence.
